1. Services & Scope

The Agency provides digital marketing, GA4 auditing, and data analytics services. The specific deliverables, timelines, and fees are defined in your individual Statement of Work (SOW) or selected Service Tier. Any work outside the original scope requires a written amendment.

2. Payment & Billing

• Currency: All fees are in USD.
• Processors: Payments are processed securely via Stripe or PayPal. We do not store credit card information.
• Terms: Audit and setup tiers are typically paid upfront. Retainers are billed monthly.
• Late Payments: Accounts overdue by 15 days may result in suspension of services and dashboard access.

3. Client Responsibilities & Access

To meet delivery commitments, clients must provide administrative access to required platforms such as Google Analytics, Google Tag Manager, and backend systems.

• Access Rule: Timelines begin only after "Full Access" is confirmed.
• Delays: Any delay in access or feedback results in equal extension of deadlines.

4. 14-Day Performance Guarantee

• Scope: Tier 1 & 2 include delivery within 14 business days after full access.
• Tier 3: Audit/Roadmap follows 14 days; full implementation may take up to 30 days.
• Refunds: Failure due to internal delays qualifies for 100% refund of that phase.

5. Intellectual Property

• Agency IP: We retain ownership of methodologies, frameworks, and templates.
• Client Work: Upon full payment, clients receive a perpetual license to use deliverables.

6. Limitation of Liability

BlackCat Marketing LLC is not liable for issues caused by third-party platforms (Google, Meta), browser changes, or user privacy settings.

Cap: Liability is limited to fees paid in the previous 3 months for the relevant service.

7. Termination

Either party may terminate with 30 days’ written notice. Clients will be billed for all completed work up to termination.
